Annuit Terms of Service

1. Acceptance of Terms

By accessing or using the Service, you affirm that you are of legal age and have the authority to enter into this agreement on behalf of your organization (“User,” “you,” or “your”). If you do not agree to these Terms, do not use the Service.

2. Description of the Service

Annuit provides intelligent document management and organization capabilities for business and personal use, designed to help users organize, analyze, and structure their digital documents efficiently. Core features of the Service include:

• Automatic identification of document types (tax documents, bank statements, invoices)
• Smart document renaming for improved clarity
• Intelligent splitting of multi-form PDF documents
• AI-assisted document analysis, organization, and metadata extraction

3. User Responsibilities

3.1 Account Registration

You must create an account through our platform. You are responsible for maintaining the confidentiality of your sign in credentials and for all activities conducted under your account. Annuit is not liable for any loss or damage arising from unauthorized use of your credentials.

3.2 Compliance with Laws

You agree to use the Service in compliance with all applicable laws, regulations, and industry standards.

3.3 Uploaded Content

You represent and warrant that:

• You have the right to upload any documents or other materials (“Content”) to the Service.
• Your Content does not infringe on the intellectual property rights of any third party.

You retain ownership of your Content. By uploading Content, you grant Annuit a non-exclusive, worldwide, royalty-free license to store, process, index, transmit, and display your Content solely as necessary to provide, secure, support, and maintain the Service. This license terminates automatically when you delete your Content or close your account, except where retention is required by law or for legitimate business purposes (e.g., backups, auditing).

4. Data Handling and Privacy

4.1 Data Storage and Processing

Content uploaded to the Service is securely stored and indexed in databases managed by LlamaIndex. We use artificial intelligence technology, including services provided by Anthropic, to process documents for metadata extraction, classification, splitting, organization, and related Service features.

4.2 Data Security

Annuit employs reasonable measures to protect your data, but we cannot guarantee absolute security. By using the Service, you acknowledge and accept the inherent risks of transmitting data over the internet.

4.3 Privacy Policy

Our collection, use, and storage of personal data are governed by our Privacy Policy, which is incorporated into these Terms by reference.

5. Fees and Payment

5.1 Subscription Fees

The Service is offered on a subscription basis for each organization. Available tiers, prices, usage limits, and billing cycles are presented during checkout, in account settings, or in the Stripe Customer Portal. Subscription fees are billed through Stripe.

5.2 Payment Obligations

You authorize Annuit and Stripe to charge your selected payment method for subscription fees, renewals, prorated charges, taxes, and other amounts due in connection with the Service until you cancel your subscription. You are responsible for all fees associated with your use of the Service. Failure to pay may result in suspension or termination of your account.

5.3 Billing Cycles

Monthly subscriptions renew monthly until cancelled. Annual subscriptions are charged once up front for the full annual term and renew annually until cancelled. Annual pricing may include a discount compared with twelve monthly payments.

5.4 Promotions and Discounts

Promotional pricing, coupons, or discounts are subject to the eligibility rules stated at checkout. Any first-month promotional offer is available only for monthly subscriptions unless we expressly state otherwise, and does not apply to annual subscriptions.

5.5 Plan Changes and Proration

You may manage eligible subscription changes through the Stripe Customer Portal. Upgrades generally take effect immediately and may result in prorated charges or credits calculated by Stripe. Downgrades, including changes from annual to monthly billing, generally take effect at the end of the then-current billing period.

5.6 Cancellations and Refunds

Cancellations take effect at the end of the current billing period unless we state otherwise. You may cancel through your account settings or the Stripe Customer Portal. Annual subscriptions cancelled mid-term retain access through the end of the paid term, but unused portions of the annual term are not prorated, credited, or refunded except where required by law or where we approve a manual exception for reasons such as billing error, fraud, or customer-support goodwill.

5.7 Usage Limits

Subscription tiers may include monthly usage limits or other Service limits. Usage counters do not reset when you upgrade or otherwise change plans mid-cycle; the new limit applies to the existing usage for that billing period.

6. Restrictions and Acceptable Use

6.1 Prohibited Activities

You may not:

• Use the Service for illegal or unauthorized purposes.
• Interfere with or disrupt the integrity or performance of the Service.
• Attempt to reverse-engineer or otherwise extract the source code of any part of the Service.

6.2 AI Limitations

The document organization features of Annuit are provided on an “as-is” basis. While we strive for accuracy, Annuit does not guarantee perfect document identification or organization in all scenarios. You acknowledge that outputs generated by Annuit's AI systems may contain errors or inaccuracies and should not be solely relied upon for compliance, legal, tax, accounting, financial, or other professional purposes. You are responsible for reviewing outputs before relying on them or taking action based on them.

7. Termination

We reserve the right to suspend or terminate your account and access to the Service at our sole discretion, without notice, for violation of these Terms, non-payment, suspected misuse, legal risk, or other reasons. Termination does not relieve you of payment obligations that accrued before termination.

8. Intellectual Property

Annuit retains all rights, title, and interest in the Service, including software, interfaces, and underlying technologies. You are granted a limited, non-exclusive license to use the Service as outlined in these Terms.

9. Limitation of Liability

To the maximum extent permitted by law, Xaac, LLC, its affiliates, and their respective officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising out of or related to your use of the Service, whether based on contract, tort, negligence, strict liability, or otherwise, even if Xaac, LLC has been advised of the possibility of such damages. In no event shall Xaac, LLC's total liability exceed the amount paid by you (if any) for access to the Service during the twelve (12) months preceding the claim.

10. Governing Law

These Terms are governed by the laws of the State of Arizona, without regard to its conflict of law principles.

11. Dispute Resolution and Arbitration

Any dispute arising out of or relating to these Terms or the Service shall be resolved through binding arbitration in Maricopa County, Arizona, under the rules of the American Arbitration Association. Each party shall bear its own costs, and the arbitrator's decision shall be final and enforceable in any court of competent jurisdiction. You agree that you may bring claims against Xaac, LLC only in your individual capacity and not as a plaintiff or class member in any class or representative proceeding.

12. Changes to the Terms

We may update these Terms from time to time. Changes will be effective upon posting to our website. Continued use of the Service constitutes your acceptance of the revised Terms.

13. Consulting & Professional Services

These Terms govern the Annuit Service described in Section 2. Annuit's engineering and AI consulting engagements (for example, the AI Tool Production Readiness Assessment) are governed by a separate written agreement and per-engagement statement of work, not by these Terms.
